These Terms & Conditions (the "Terms") govern your access to and use of the HomeMedian website, mobile applications, and related services (collectively, the "Services"), operated by Richland Realty Inc. ("Richland Realty", "we", "us"), a real estate brokerage registered in the Province of Ontario. By accessing or using the Services, or by creating an account, you agree to be bound by these Terms and by our Privacy & Security Policy. If you do not agree, do not use the Services.

1. Eligibility and Accounts

1.1 You must be at least 18 years of age and capable of entering into a binding agreement to use the Services.

1.2 Certain features, including detailed listing information and sold data, are available only to registered users. You agree to provide accurate registration information, keep it current, and keep your login credentials confidential. You are responsible for all activity under your account. Notify us immediately of any unauthorized use.

1.3 We may suspend or terminate your account at any time if we reasonably believe you have breached these Terms.

2. Consumer Relationship and Permitted Use of Listing Data

2.1 Portions of the Services operate as a Virtual Office Website ("VOW") under agreements with PropTx Innovations Inc. ("PropTx"). By registering, you acknowledge that you are entering into a lawful consumer–brokerage relationship with Richland Realty Inc., Brokerage, for the purpose of receiving real estate services through the Services. These Terms do not impose any fee, charge, reimbursement, or other financial obligation on you and do not create any representation (agency) agreement between you and Richland Realty. Any agreement imposing a financial obligation on you or creating representation of you by Richland Realty must be established separately from these Terms, must be prominently labeled as such, and may not be accepted solely by mouse click.

2.2 Bona fide interest. The information provided herein must only be used by consumers that have a bona fide interest in the purchase, sale, or lease of real estate and may not be used for any commercial purpose or any other purpose. By registering, you confirm that you have such a bona fide interest.

2.3 Personal, non-commercial use. All listing information, sold data, market statistics, images, and related content made available through the Services (collectively, "Listing Content") are provided solely for your personal, non-commercial use, except in connection with your consideration of the purchase, sale, or lease of an individual property. You will not copy, redistribute, retransmit, display, post, disseminate, distribute, publish, broadcast, transfer, sell or sublicense any Listing Content, in whole or in part, or otherwise exploit it. Prohibited uses expressly include scraping, screen scraping, database scraping, data mining, or any other activity intended to collect, store, re-organize, summarize or manipulate Listing Information or related data. You will not provide any Listing Content to any third party or to any artificial intelligence system.

2.4 Data reliability. Listing Content is deemed reliable but is not guaranteed accurate by PropTx. Information may contain errors or omissions and may change without notice. Verify all information independently before relying on it.

2.5 The Services do not provide full access to any MLS® system. The number of listings viewable in response to any inquiry may be limited.

2.6 Compliance monitoring and audit. You expressly authorize PropTx, TRREB, and other PropTx Members, or their duly authorized representatives, to access the Services and your registration information for the purposes of verifying compliance with MLS® Rules and Policies (including the VOW rules) and monitoring the display of listings. You consent to the collection, use, and disclosure of your personal information, including your first and last name, email address, and phone number, and to such information being shared with PropTx and TRREB for auditing and/or legal purposes.

3. Intellectual Property

3.1 Listing Content — including the MLS® database, MLS® data, PropTx's MLS® System, and Listing Information — is owned by or licensed to PropTx, the Toronto Regional Real Estate Board ("TRREB"), and participating real estate boards, and is protected by copyright and other intellectual property laws. You acknowledge the validity of such ownership and acquire no rights in the MLS® database, MLS® data, PropTx's MLS® System, or Listing Information other than the limited right to view Listing Content through the Services as permitted by these Terms.

3.2 The HomeMedian name, logo, software, design, and all content on the Services other than Listing Content are owned by Richland Realty Inc. or its licensors. You may not reproduce or use them without our prior written consent.

3.3 The trademarks REALTOR®, REALTORS®, and the REALTOR® logo are certification marks that are owned by REALTOR® Canada Inc. and licensed exclusively to The Canadian Real Estate Association (CREA). These certification marks identify real estate professionals who are members of CREA and who must abide by CREA's By-Laws, Rules, and the REALTOR® Code. The MLS® trademark and the MLS® logo are owned by CREA and identify the quality of services provided by real estate professionals who are members of CREA. Used under license. The information contained on the Services is based in whole or in part on information provided by members of CREA, who are responsible for its accuracy. CREA reproduces and distributes this information as a service for its members and assumes no responsibility for its accuracy. This website is operated by a brokerage that is a member of CREA.

3.4 Richland Realty Inc. and the Services are not affiliated with, endorsed by, or sponsored by PropTx or TRREB.

4. Estimated Sale Prices and Market Analytics

4.1 The Services may display automated estimated sale prices, market trends, and other analytical content generated by HomeMedian's own models ("Estimates"). Estimates are provided for informational purposes only. They are not an appraisal, are not a comparative market analysis prepared by a registrant, and are not provided by, endorsed by, or affiliated with PropTx, TRREB, or any real estate board.

4.2 Estimates are produced by statistical and machine-learning models and may be inaccurate, incomplete, or out of date for any particular property. Do not rely on an Estimate as the sole basis for any transaction decision. Consult a licensed real estate professional or accredited appraiser for a formal valuation.

5. No Professional Advice

Content available through the Services is general information and does not constitute legal, financial, tax, lending, appraisal, or investment advice. You should obtain advice from qualified professionals before making real estate decisions.

6. Prohibited Conduct

You will not, and will not assist any person to:

We monitor the Services for compliance and maintain audit records of user activity. Violations may result in immediate suspension or termination of access and may be reported to PropTx, real estate boards, or law enforcement where required.

7. Third-Party Content and Links

The Services may contain links to or content from third-party websites and services. We do not control and are not responsible for third-party content, and a link does not imply endorsement. Your use of third-party services is at your own risk and subject to their terms.

8. Availability and Changes to the Services

We may modify, suspend, or discontinue any part of the Services at any time without notice, including where required by our data providers. Listing data feeds may be interrupted, delayed, or terminated by data providers, and we are not liable for any resulting unavailability of data or features.

9. Disclaimer of Warranties

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES, REPRESENTATIONS, OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR CURRENCY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RICHLAND REALTY INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS, AND ITS DATA PROVIDERS (INCLUDING PROPTX AND TRREB) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES OR ANY CONTENT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Enforcement and Reservation of Rights

Richland Realty Inc. may suspend or terminate your access immediately, without notice, if we reasonably believe you have breached Section 2 or Section 6. Nothing in these Terms limits any right or remedy available to Richland Realty Inc., PropTx, or TRREB under applicable law, including with respect to unauthorized use, copying, or redistribution of Listing Content. These Terms do not require you to reimburse Richland Realty Inc. for any amount.

12. Termination

You may stop using the Services and request deletion of your account at any time. Upon any termination of your access, your right to use Listing Content ceases immediately, and you must destroy any Listing Content in your possession. Sections 2.3, 3, 9, 10, 11, and 14 survive termination.

13. Changes to These Terms

We may amend these Terms from time to time, including where required by changes to our data licence agreements or applicable law. We will post the updated Terms with a revised "Last updated" date and, for material changes, provide notice through the Services or by email. Continued use of the Services after changes take effect constitutes acceptance.

14. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario for any dispute arising out of or relating to these Terms or the Services.

15. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them in connection with a reorganization or transfer of the Services. These Terms, together with the Privacy & Security Policy, constitute the entire agreement between you and Richland Realty Inc. regarding the Services.

16. Language

These Terms are prepared in English; a Chinese translation may be provided for convenience. In the event of any inconsistency, the English version governs.
